PLEASE READ THESE TERMS AND CONDITIONS FOR THE USE OF CENTER FOR THE COLLABORATIVE CLASSROOM ("CCC") DIGITAL PRODUCTS CAREFULLY. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, YOU WILL NOT BE PERMITTED ACCESS TO CCC DIGITAL PRODUCTS.

BY ACCEPTING THIS AGREEMENT, you agree to the terms and conditions set forth herein. In turn, CCC grants you the right to access CCC Digital Products subject to the following terms and conditions.

This is an agreement between you and CCC and governs your use of CCC's technology, including but not limited to: Electronic Books ("eBooks") and other licensed digital content (collectively the eBooks and other licensed digital content are referred to as the "Licensed Materials"); any of the secure CCC website platforms (e.g., CCC Learning Portal, Collaborative Coach); any web applications accessed from those platforms (e.g., ClassView Pro, Digital Teacher Manuals); any native applications provided by CCC either via direct download or via platforms like the App Store, Google Play, MacOS Store, Windows Store, or Chrome Web Store (e.g. CCC Access Pro, BookRoom!, WordWorks!); and any of the services and goods provided through the applicable CCC platforms or native applications (the "Agreement"). Each time you access Licensed Materials you confirm your acceptance and agreement, and the acceptance and agreement of any Authorized User (defined below), without limitation or qualification, to be bound by this Agreement. If you do not agree with any provision of this Agreement, or you are not authorized to agree to and accept this Agreement, or you do not have the legal authority to agree to and accept this Agreement, you may not use the Licensed Materials.


1. The License

1.1 As used in this Agreement, the following terms shall have the meaning indicated:

"Licensed Materials" means the eBooks and/or other digital content licensed by the Licensee. The Licensed Materials will be hosted on the CCC platforms and the Licensee may be permitted by CCC to download specified Licensed Materials to Licensee's user devices, provided you keep intact all copyright and other proprietary devices and abide by CCC's policies regarding the downloads.

"Authorized Users" means those users that the Licensee identifies as authorized to access and use the Licensed Materials and the CCC platforms (the "Platforms"). For Individual Educator, Educational Services, Districts, Academic Libraries and Schools, "Licensee" shall mean the Educational Service, District, School or Library licensing the use of and access to the Platforms and Licensed Materials. Authorized Users include Licensee's administration, faculty, and staff who have access to that institution's network from either within the institution or via authenticated remote access.

1.2 Each Licensee has a nonexclusive and nontransferable license to use and provide limited access to the Licensed Materials to their Authorized Users. Each Licensee's Licensed Materials will be available to such Licensee's Authorized Users via authentication by using an ID (email address) and password to access an account affiliated with Licensee's organization, which has made a purchase transaction with CCC, or by Single Sign-on connection. You agree to maintain your password as confidential information. You agree not to share your password with others for the purpose of account sharing. CCC does not authorize the use of group accounts. The unauthorized use of your ID and password for access to Licensed Materials, with or without your knowledge, is a breach of this Agreement and a violation of CCC policy and CCC author copyrights and the copyrights of third-party content licensed to CCC. You are responsible for undertaking reasonable measures to prevent access by unauthorized persons to your ID and password.

If you have an all-access digital license without classroom materials, you may allow only one Authorized User to access and use the Licensed Materials at any given time.

1.3 The use of the Licensed Materials shall be for personal, non-commercial, educational, and research purposes only. CCC reserves the right in its sole discretion to terminate your access to and usage of the Licensed Materials in the event that you violate the terms of use hereunder provided, however, that CCC shall not terminate access and use unless it first notifies you of your violation of the terms of use and you fail to reasonably remedy the violation within 30 days of receiving e-mail notification. Repeated violations may be cause for terminating this Agreement or restricting access for the offending parties.

Authorized Users are permitted online access to Licensed Materials and may cut and paste, save, or print one hard copy of brief sections of text, search results, or other information from the Licensed Materials for educational and personal use. You may use this online access in a way that conforms to all applicable copyright laws and regulations only. CCC grants you permission to use brief excerpts from the Licensed Materials with the appropriate credit of the source. Use other than as indicated above is a violation of the terms and conditions of this Agreement.

You may not sell, transfer, publish, disclose, display or otherwise make available the Licensed Materials beyond the limits of the license set out above. You shall use reasonable care to protect the copyrights and trade secrets of CCC and the Licensed Material's authors and publishers. You agree that you will not circumvent CCC's access control systems. Violation of this provision shall be the basis for immediate termination of this Agreement. Termination of this Agreement shall be in addition to and not in lieu of any other legal or equitable remedies available to CCC.

1.4 The Platform may contain links to third party websites that are not owned or controlled by CCC. CCC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party website. By using the Platform, you expressly relieve CCC from any and all liability arising from your use of any third-party website. Therefore, we encourage you to be aware when you leave the Platform and to read the terms and conditions of and privacy policy of any third-party website you visit.

1.5 Center for the Collaborative Classroom will exercise its best efforts to host the Licensed Materials for access by you during the period you are an Authorized User. CCC will not be responsible for technological changes, acts of God and other events outside its control that make it impossible for you to temporarily or permanently access your Licensed Materials.

2. User Submissions

The Licensee and Authorized Users may post links on the Platform from their website or third-party websites ("User Links") and may post content for hosting, sharing, transmitting, broadcasting and/or publishing such User Links and content for the Licensee.

You shall be solely responsible for the User Links and any content you submit and the consequences of posting it in the Licensed Materials and on the Platform. CCC takes no responsibility and assumes no liability for any User Links or content posted by you in the Licensed Materials and on the Platform. You agree that you will indemnify CCC for all claims resulting from the User Links and content you post in the Licensed Materials and on the Platform.

You may post User Links and content as long as the User Links and content do not contain content that is illegal, obscene, threatening, defamatory, invasive of privacy, or otherwise injurious to third-parties. The User Links and content cannot contain anything that infringes any copyright or trademark. The User Links and content also cannot be objectionable, contain software viruses, malware, commercial solicitation, chain letters, mass mailings or any form of spam.

The Platform does not encourage, and does not want User Links and content that results from any activity that (i) may create a risk of harm, loss, physical or mental injury, emotional distress, death, disability, disfigurement, or physical or mental illness to you, to any other person, or to any animal; (ii) may create a loss or damage to any person or property; or (iii) may constitute a crime or tort.

By posting the User Links and any content on the Platform, you are granting CCC a non-exclusive, worldwide, royalty-free, irrevocable and perpetual license to use the User Links and content with the Licensed Materials and on the Platform. CCC acknowledges to you that CCC is not the copyright owner of the content posted by any users unless such content contains CCC's content.

CCC may or may not pre-screen and/or monitor User Links and content posted in the Licensed Materials and on the Platform and may remove or delete User Links and content and or terminate a user's access for uploading User Links or content in violation of the terms and conditions of use contained in this Agreement at any time, without prior notice and at its sole discretion.

CCC platforms might capture video and/or still images for the purpose of, but not limited to, professional development, classroom instruction and/or knowledge transfer. By your action of recording images or video, you give CCC a non-exclusive, worldwide, royalty-free, irrevocable and perpetual license to use such images and video for the purpose intended on the Platform. All video and image captures are subject to meet the protection laws of children (e.g., FERPA, CIPA). You acknowledge that you have authorization or capture images and use appropriate safeguards with image or video captures.

3. Copyright

The Licensed Materials are copyrighted by CCC and authors under contract to CCC and third-party publishers under the Copyright Law of the United States (Title 17, U.S. Code), which is party to both the Universal Copyright Convention and the Berne Copyright Convention, and are subject to all applicable copyright, database protection and other rights of CCC as copyright owner and publisher under the laws of the United States and other countries. You agree not to remove or obscure copyright notices. This Agreement grants no copyright or ownership interests to you for any of the CCC Licensed Materials belonging to CCC or to authors under contract to CCC.

4. Warranty

CCC represents and warrants that it owns or controls all rights necessary and, has the authority to grant you access to the Platforms. In addition, CCC represents and warrants that it has obtained all rights necessary in and to the Licensed Materials to grant you the rights and licenses herein.

5. Disclaimer

EXCEPT AS SET FORTH ABOVE, THE LICENSED MATERIALS AND CCC PLATFORM ARE PROVIDED ON AN "AS IS" BASIS. YOU ASSUME ALL RESPONSIBILITIES FOR SELECTION OF THE PLATFORM AND LICENSED MATERIALS TO ACHIEVE YOUR INTENDED RESULTS, AND FOR THE INSTALLATION OF, USE OF, AND RESULTS OBTAINED FROM THE PLATFORM AND THE LICENSED MATERIALS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CCC AND ITS LICENSORS (INCLUDING PUBLISHERS OF CONTENT) DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE PLATFORM AND THE ACCOMPANYING WRITTEN MATERIALS.

6. Limitation of Liability

IN PROVIDING THE LICENSED MATERIALS, NEITHER CCC NOR ANY OF THE CONTENT PROVIDERS WILL BE LIABLE FOR ANY LOST PROFITS OR BUSINESS OPPORTUNITIES, LOSS OF USE, BUSINESS INTERRUPTION, LOSS OF DATA, OR ANY OTHER DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES UNDER ANY THEORY OF LIABILITY, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE. THIS LIMITATION SHALL APPLY REGARDLESS OF WHETHER CCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CCC'S

7. Duration of Agreementy

This Agreement will become effective upon your acceptance of the terms and conditions of this Agreement and upon your following the acceptance procedure as set forth below in this Agreement, and subject to the terms and conditions of this Agreement, will remain in effect for as long as you remain an Authorized User.

8. Governing Law

This Agreement shall be interpreted and construed according to, and governed by, the laws of the State of California, United States of America. You agree to submit to the exclusive jurisdiction of the courts of the state of California and the federal courts of the northern district of California.

9. Entire Agreement

This is the entire Agreement between the parties and supersedes all prior communications, understandings, and agreements, oral or written.

10. Changes to Agreement

CCC reserves the right, at its sole discretion, to change, modify, add or delete portions of these terms of use at any time.

Acceptance Procedure

By clicking on the "I AGREE TO THE TERMS OF USE", you represent that you have read this Agreement in its entirety, understand its terms and conditions, are duly authorized to execute this Agreement on behalf of you, as an Authorized User, agree to be bound by the terms and conditions of this Agreement.
